Note: This chapter is devised to present the subject of Corporations based on general law. The summary generally follows the Model Business Corporation Act (MBCA). The MBCA, in some form, has been adopted in substance in most states. In 1984, the ABA Committee of Corporate Laws of the Section of Banking and Business Law adopted a Revised Model Business Corporation Act.
