Generally

At common law, the excuse of impossibility applies when the subject matter of the contract is destroyed or a party to a personal service contract dies.

 

Under the UCC doctrine of impracticability, performance is excused when (1) goods identified to the contract are destroyed, (2) performance becomes illegal, or (3) performance is prevented by a nonforeseeable event the nonoccurrence of which was a basic assumption of the contract.
